PAYMENT TERMS

1. General

These Payment Terms explain how payments, Blues, purchases, refunds and related transactions operate on BlueVibeSound, available at bluevibesound.com.

This Policy forms part of our Terms of Service.

The Site provides electronically delivered digital audio products.

No physical goods are sold or shipped.

Samples obtained through the Site are distributed under the Creative Commons Attribution 4.0 International Public License (“CC BY 4.0”).

Payment through the Site relates to obtaining access to the relevant digital content through the Company's platform. It does not purchase exclusive rights in a Sample or modify the rights granted by CC BY 4.0.

2. Eligibility for Payments

Purchasing Blues and making Purchases through the Site are available only to persons who:

(a) are at least 18 years old; and

(b) have reached the applicable legal age of majority required to enter into binding transactions.

Persons who do not satisfy these requirements must not purchase Blues or make Purchases through the Site.

3. Payment Processing and Available Methods

Payments are processed by independent third-party payment service providers selected or made available by the Company.

The Company does not itself process card transactions or normally store full payment-card details.

Payment authorisation, validation, security checks and related processing are performed by the relevant payment provider according to its own terms, policies and technical procedures.

The Company may change, limit, suspend or discontinue payment methods where reasonably necessary.

4. Blues

Blues are account-based digital units made available solely for use within the Platform.

Blues may only be used to purchase eligible products offered through the Platform.

Blues:

(a) have no cash value outside the Platform;

(b) are not legal tender or general-purpose currency;

(c) cannot normally be transferred, assigned, sold, gifted or made available to another user;

(d) cannot be used to purchase goods or services from unrelated third parties;

(e) cannot normally be withdrawn to a bank account, payment card, cryptocurrency wallet or other external payment method;

(f) cannot be exchanged or converted into money or other monetary value, except where required by applicable law or expressly approved by us in connection with a refund or billing correction; and

(g) do not accrue interest.

Blues are not intended to operate as a bank account, deposit, savings product, investment product or general-purpose payment instrument.

5. Purchasing Blues

Blues may be purchased using the payment methods displayed during the payment process.

Before confirming a purchase of Blues, you will be shown the monetary amount payable, the amount of Blues to be added to your account and any applicable taxes or charges that we are required to disclose.

By confirming the payment, you authorise the relevant payment service provider to charge your selected payment method for the displayed amount.

Blues will normally be added to the relevant User Account only after the payment has been successfully authorised, received and recorded by our systems.

A transaction relating to the purchase of Blues is not considered completed until the corresponding Blues have been credited to the relevant User Account.

We may apply reasonable minimum or maximum amounts to individual purchases or to the amount of Blues that may be held or acquired within a specified period.

Any applicable limits will be displayed or otherwise communicated where appropriate.

6. Product Pricing

Prices for Samples, Sample Packs and other eligible products are displayed in Blues.

The applicable relationship between Blues and the monetary amount paid to acquire them will be disclosed during the purchase process.

Where the Platform operates on a fixed conversion rate, that rate will be displayed before payment.

Users must first obtain sufficient Blues before completing a Purchase unless another payment mechanism is expressly made available by us.

Product prices may change from time to time. A price change does not affect a Purchase that has already been successfully completed.

7. Balance and Expiry

Your current balance will be displayed within your User Account where this functionality is available.

Purchased Blues remain valid for 90 calendar days from the date they are added to the relevant User Account.

Any purchased Blues that remain unused after this period will automatically expire and will no longer be available for further Purchases.

Expired Blues cannot be transferred, redeemed for cash or refunded, except where otherwise required by applicable law.

Blues do not accrue interest or increase in monetary value while held within a User Account.

Promotional, bonus or complimentary Blues may be subject to different validity periods or additional conditions. Any such conditions will be disclosed when those Blues are issued.

8. Purchasing Products with Blues

Eligible products may be added to a shopping cart before Purchase.

The number of Blues required for each product, together with the total amount of Blues required for the cart, will be displayed before you confirm the Purchase.

When you confirm the Purchase, the applicable number of Blues will be deducted from your balance.

If your balance is insufficient, you must purchase additional Blues before completing the order unless another payment option is expressly offered.

Unless specifically stated otherwise, Blues cannot be combined with an external payment method to partially pay for an individual Purchase.

A Purchase of a Sample, Sample Pack or other digital product is considered completed when:

(a) the applicable number of Blues has been successfully deducted from the relevant User Account; and

(b) access to the purchased digital content has been granted or made available through that account.

9. Effect of Purchase on CC BY 4.0 Rights

A Purchase provides access to the relevant Sample through the Site.

A Purchase does not grant exclusivity and does not restrict the rights granted under CC BY 4.0.

Once a Sample has been lawfully obtained under CC BY 4.0, its subsequent use, sharing and adaptation are governed by CC BY 4.0 rather than by the amount paid for access through the Site.

The same Sample may therefore be used or distributed by other persons in accordance with CC BY 4.0.

The Company does not charge ongoing royalties for uses that are permitted by CC BY 4.0.

10. Delivery of Digital Content

All Samples, Sample Packs and other purchased digital products are delivered electronically.

Access is normally granted through the relevant User Account after the Purchase has been successfully completed and recorded by our systems.

Delivery may occasionally be delayed because of payment verification, security checks, technical interruptions, maintenance, internet connectivity problems, third-party processing issues or other circumstances beyond our reasonable control.

If a Purchase has been successfully completed but the corresponding content has not been made available correctly, we may, as appropriate:

(a) restore or grant access to the purchased content;

(b) re-enable the relevant download or delivery;

(c) correct the relevant balance or transaction record;

(d) re-credit the relevant Blues;

(e) reverse a duplicate transaction;

(f) provide another appropriate account adjustment; or

(g) provide a monetary refund where appropriate or required by applicable law.

11. No Automatic Conversion Back to Money

Blues exist solely for use in purchasing eligible content through the Platform.

Except where required by applicable law or expressly approved by us under this Policy, unused Blues cannot be exchanged, redeemed or withdrawn for money.

Purchasing Blues does not create any general right to require us to repurchase, exchange or cash out those Blues.

This restriction does not affect any statutory right to receive a monetary refund.

12. Immediate Supply of Digital Content

Samples, Sample Packs and other downloadable products constitute digital content.

Digital content is normally made available without delay after the relevant Purchase has been successfully completed.

Where required by applicable consumer law, you may be asked before completing a Purchase to expressly request immediate supply of the digital content and acknowledge that your statutory cancellation right may be lost once supply begins.

Supply may begin when access to the purchased digital content is granted through your account or when downloading or other access becomes available.

You should therefore review the contents and price of your cart carefully before confirming a Purchase.

13. Cancellation of Digital Content Purchases

Because products supplied through the Platform are digital content delivered electronically, a Purchase generally cannot be cancelled after the applicable transaction has been completed and the digital content has been made available to the relevant User Account, particularly where the content has already been accessed or downloaded.

Where applicable law provides a statutory cancellation right, any loss of that right will apply only where the requirements of the relevant law have been satisfied.

Nothing in this section excludes or limits mandatory consumer rights.

14. CC BY 4.0 and Refunds

The ability to share, adapt or commercially use a Sample under CC BY 4.0 does not itself create a right to a refund of the amount paid to obtain access to that Sample through the Site.

Similarly, the fact that a Sample may also lawfully be distributed by another person under CC BY 4.0 does not, by itself, make a completed Site Purchase refundable.

Refund rights depend on this Policy and applicable law.

15. Technical Problems

If a purchased digital file is corrupted, incomplete or cannot be accessed or downloaded because of a problem attributable to the Platform, please contact [email protected].

We may first attempt to restore access, provide a replacement file or otherwise correct the technical issue.

If the problem cannot be resolved within a reasonable time or without significant inconvenience, any remedies required by applicable consumer law remain available.

16. Duplicate Charges and Billing Issues

If you believe that:

(a) a payment was successfully charged but Blues were not added to your account;

(b) Blues were deducted but purchased content was not provided;

(c) the same payment or Purchase was charged more than once;

(d) an incorrect amount was charged; or

(e) another billing error occurred,

please contact [email protected] as soon as reasonably possible.

To allow us to investigate the issue, you should provide, where available:

  • the email address associated with your User Account;
  • the transaction date;
  • the amount charged;
  • the number of Blues involved;
  • the relevant product or Purchase;
  • any available payment or transaction reference; and
  • a brief description of the issue.

We may request additional information reasonably necessary to investigate the matter.

Following our review, we may correct the balance, restore access to purchased content, issue an account adjustment, initiate a monetary refund where appropriate, or take another corrective step permitted under this Policy and applicable law.

17. Failed or Delayed Payments

A payment may be declined, delayed or subjected to additional checks by a payment service provider, bank, card issuer, fraud-prevention provider or other financial intermediary.

We are not responsible for an independent third party declining a transaction where the relevant decision is outside our control.

Blues will normally not be issued until the corresponding payment has been successfully confirmed.

If a payment initially appears successful but is subsequently rejected or reversed before completion, the associated Blues may not be issued or may be adjusted accordingly.

18. Payment Providers

Our payment functionality may be provided by one or more independent third-party payment service providers.

Those providers may apply their own terms, privacy policies, security procedures, fraud controls and technical requirements.

We may change the payment providers available through the Platform from time to time.

Our Privacy Policy provides further information regarding the processing of payment-related personal data.

19. Monetary Refund Processing

Where a monetary refund is appropriate or required by applicable law, we will normally initiate the refund through the relevant third-party payment provider.

Where required by law, the refund will be made to the payment method originally used unless you expressly agree to another lawful method.

We do not charge a separate fee for a statutory refund.

Once initiated, a refund may typically take approximately 5 to 10 business days to appear, although the actual timing depends on the relevant payment provider, payment method, bank or card issuer.

Except where a monetary refund is required by applicable law or expressly approved by us, corrections and refunds relating to transactions made using Blues may instead be reflected through re-crediting Blues or another appropriate adjustment within the relevant User Account.

20. Promotional Blues, Discounts and Other Benefits

We may offer discount codes, promotional Blues, bonus Blues, complimentary Blues or similar promotional benefits.

Such benefits may be subject to conditions disclosed when the relevant offer is made, including:

(a) expiry dates;

(b) eligible products;

(c) minimum Purchase values;

(d) account eligibility;

(e) geographical limitations; or

(f) other reasonable promotional conditions.

Except where required by applicable law, promotional Blues, discounts, bonuses and other non-cash promotional benefits cannot be redeemed, exchanged or converted into money.

Promotional Blues may be removed where they were obtained through fraud, abuse, technical error or breach of the applicable promotion terms.

Partially used balances cannot be redeemed for cash merely because part of the original balance has already been spent, except where required by applicable law.

21. Chargebacks and Payment Disputes

If a payment or billing issue occurs, we encourage you to contact us before initiating a chargeback or formal dispute so that we have an opportunity to investigate and resolve the matter.

This does not prevent you from exercising any right to contact your bank, card issuer or payment service provider.

If a chargeback, payment reversal or payment dispute is initiated, we may, to the extent permitted by law:

(a) review the relevant transaction and User Account;

(b) temporarily suspend access to affected content or transaction-related account features while the matter is under review;

(c) reverse or adjust Blues connected with the disputed payment;

(d) adjust transaction records associated with the disputed payment; and

(e) restrict future transactions in cases involving repeated, fraudulent or abusive disputes.

Where a payment is reversed after the corresponding Blues have already been used, we may adjust the relevant balance or restrict additional Purchases while the resulting discrepancy is resolved.

We will not penalise a consumer merely for exercising a lawful right to challenge an unauthorised, incorrect or disputed payment.

Nothing in this section limits rights available under applicable law.

22. Account Closure and Remaining Blues

You may request closure of your User Account in accordance with our Terms of Service.

Closing an account does not automatically create a right to receive a monetary refund for unused Blues.

You should therefore consider using any remaining valid Blues before voluntarily closing your account.

Blues that have expired under the 90-day validity period are not reinstated solely because an account is being closed.

Where applicable law requires a monetary refund or other remedy in particular circumstances, we will comply with that requirement.

Licences validly acquired for Samples or other digital content before account closure remain subject to our Terms of Service.

23. Transaction Records

We may retain records concerning:

  • purchases of Blues;
  • balances and expiry;
  • digital-content Purchases;
  • downloads and delivery;
  • refunds;
  • account adjustments;
  • payment disputes; and
  • chargebacks.

Such records may be used for account administration, proof of purchase and licensing, customer support, fraud prevention, accounting, tax, dispute resolution and legal compliance.

24. Changes to these Payment Terms

We may update these Payment Policy from time to time to reflect changes to the Platform, payment methods, operational procedures, applicable law or other relevant circumstances.

The updated version will be published on the Platform with a revised “Last Updated” date.

Changes will apply from the date stated in the updated Policy unless otherwise required by applicable law.

Where a change materially affects existing purchased Blues or another existing consumer right, we will provide additional notice where required and will not retroactively remove rights that cannot lawfully be restricted.

Continued use of the Platform after an updated Policy becomes effective constitutes acceptance of the revised Policy to the extent permitted by applicable law.
